These Terms of Service (“Terms”) govern access to and use of GHEXIT (“GHEXIT,” “we,” “us,” or “our”), a multi-tenant communications platform providing SMS, voice, WhatsApp, email, and video APIs, operated by Vukori Holdings [registered entity name, address, and jurisdiction to be confirmed by Vukori Holdings / legal counsel before this page is treated as final]. By creating an account, calling the GHEXIT API, or otherwise using the service (the “Service”), you (“Customer,” “you”) agree to be bound by these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
GHEXIT provides programmable communications infrastructure — SMS/MMS, voice calling, WhatsApp Business messaging, transactional and bulk email, video rooms, phone number provisioning, SIP trunking, call flows, webhooks, and related dashboard and API tooling — delivered through GHEXIT’s own infrastructure and through third-party carrier partners including Twilio, Telnyx, SignalWire, and Africa’s Talking (collectively, “Carriers”). GHEXIT selects and routes traffic across Carriers on Customer’s behalf; Customer does not need a direct relationship with any Carrier to use the Service.
2. Accounts, API Keys & Security
- You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under them.
- API keys must not be embedded in client-side/publicly-distributed code, and must be rotated immediately if you suspect compromise.
- You must notify us promptly of any unauthorized use of your account.
- GHEXIT is a multi-tenant platform. Each organization’s data (messages, calls, recordings, contacts, billing records) is logically isolated from every other organization’s at the database level.
3. Acceptable Use
You agree not to use the Service to:
- Send unsolicited bulk messages, spam, or communications that violate the TCPA, CAN-SPAM Act, CTIA messaging guidelines, GDPR, or equivalent messaging/telemarketing/data-protection law in the recipient’s jurisdiction.
- Send content that is fraudulent, deceptive, harassing, defamatory, obscene, or that infringes a third party’s intellectual property or privacy rights.
- Transmit malware, attempt to gain unauthorized access to GHEXIT or Carrier systems, or interfere with the integrity or performance of the Service.
- Use the Service for high-risk or safety-critical purposes (e.g., emergency dispatch as a sole channel) without a separate written agreement addressing that use case.
- Resell, sublicense, or provide the Service to third parties as your own product without our prior written consent (white-label/reseller arrangements are available on request — see Enterprise plan).
We may suspend or terminate accounts that violate this section, with or without notice where required to protect the Service, other customers, or Carrier relationships, consistent with Carrier acceptable-use policies GHEXIT is itself bound by.
4. Fees, Billing & Refunds
- Fees are as described on our Pricing page or in a signed order form, and are billed in advance (subscription fees) and/or in arrears (usage-based fees) via our payment processor, Stripe.
- Usage-based charges (SMS, voice minutes, email sends, phone number rental, verification OTPs, etc.) accrue against your account balance and are described on the Pricing page.
- Except as required by law or expressly stated in an order form, fees are non-refundable. Unused prepaid balance may be retained as service credit at our discretion upon account closure.
- We may change pricing prospectively with at least 30 days’ notice to active paid accounts.
- Non-payment may result in service suspension after notice and a reasonable cure period.
5. Data, Privacy & Compliance
Our collection and use of personal data is described in the Privacy Policy, incorporated into these Terms by reference. Customer is responsible for having a lawful basis to send the messages, calls, and other communications it originates through the Service, including obtaining any required consent from message/call recipients. Where Customer’s use of the Service involves protected health information subject to HIPAA, a separate Business Associate Agreement is required before such data may be processed through GHEXIT — contact us before onboarding PHI workloads.
6. Service Availability
We target high availability across our multi-region, multi-carrier architecture but do not guarantee uninterrupted service. Scheduled maintenance and Carrier-side outages outside our control may affect availability. Enterprise customers may negotiate a specific SLA in a separate order form.
7. Intellectual Property
GHEXIT retains all right, title, and interest in the Service, including its software, APIs, and documentation. Customer retains all right, title, and interest in the content it transmits through the Service (“Customer Data”). Customer grants GHEXIT a limited license to process Customer Data solely to provide, secure, and improve the Service.
8. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GHEXIT’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO GHEXIT IN THE THREE (3) MONTHS PRECEDING THE CLAIM, AND NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9. Termination
Either party may terminate for convenience with notice as described in the applicable plan; either party may terminate for material breach not cured within 30 days of written notice. Upon termination, GHEXIT will make Customer Data available for export for a reasonable period (not less than 30 days) before deletion, except where earlier deletion is required by law or these Terms.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the dashboard or the email address on your account at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
